Welcome to ReplySmart. These terms explain how you can use our platform. Please read them.

ReplySmart is an SMS marketing tool for real estate professionals. You can create campaigns, manage contacts, and send text messages to your leads. To use our service, you must be at least 18 years old and have legal authority to run a real estate business. You're responsible for everything that happens under your account.

When you create an account, provide accurate information, keep your password secure, and complete the required brand registration with accurate business details. We may suspend or close your account if you break these rules, spam people, or violate SMS carrier policies.

Pricing is shown on our website. You'll be billed monthly and your subscription renews automatically unless you cancel. All sales are final with no refunds except where required by law. We charge your card at the start of each billing cycle. If payment fails, we may pause your service. You can upgrade anytime (takes effect immediately) or downgrade anytime (takes effect next billing cycle).

You can send marketing messages about real estate to people who agreed to receive them, share property listings and appointment reminders, and manage your contacts and campaigns. You cannot send spam or unsolicited messages, message people without their consent, send illegal or deceptive content, harass anyone, reverse engineer our software, resell our service, send adult content, hate speech, illegal substances, scams, or high-risk financial services.

You agree to follow all SMS laws like TCPA and CAN-SPAM Act, get proper consent before texting anyone, honor opt-outs immediately when someone texts STOP, keep accurate business information, follow real estate marketing regulations, and make sure your messages are truthful.

You must complete brand and campaign registration to send messages. Approval takes 4-12 business days. We help with registration but don't control carrier decisions. We use third-party SMS providers to send your messages. We don't guarantee messages will be delivered. Carriers may filter, delay, or block messages. Your sending limits depend on carrier policies and your campaign approval. We're not responsible if carriers flag, ban, or restrict your account. You must get permission before texting people and honor opt-out requests immediately. We automatically process opt-out keywords. Keep your own records of who consented. Continued violations will get your account suspended.

We use other companies for payments, message delivery, and platform features. Those companies have their own rules. We're not responsible if they have issues, change policies, or restrict your account.

You own your message templates, contact lists, property data, campaigns, and workflows. We own ReplySmart software, features, branding, and designs. You can't copy or modify our platform. You can use ReplySmart while you're subscribed. When you cancel, your access ends.

Our Privacy Policy explains how we handle your data. By using ReplySmart, we can process your contacts and messages to provide the service, you're responsible for getting consent from contacts, we use security measures but can't guarantee perfect security, and you give us permission to handle your data to run the platform.

We try to keep ReplySmart running smoothly, but we can't promise 100% uptime. We're not responsible for downtime caused by scheduled maintenance, third-party service issues, carrier restrictions, internet outages, or events beyond our control. We may update features, pricing, or policies with reasonable notice.

ReplySmart is provided "as is." Our maximum liability is what you paid us in the last 12 months. We're not liable for lost profits, data, business opportunities, message delivery failures, brand registration denials, or any violations of SMS laws you commit. If someone sues us because of your actions like spam, illegal content, or TCPA violations, you agree to cover our legal costs and damages.

We sometimes release experimental features. These come "as is" with no promises and may change or disappear anytime.

You can cancel anytime in your account settings. Cancellation takes effect at the end of your current billing period with no refunds for unused time. We may terminate your account if you break these terms, send spam or illegal content, don't pay your bill, get too many spam complaints, provide false registration info, or harm our platform or other users. After cancellation, your access stops immediately, data is kept for 90 days then deleted, no refunds for prepaid time, and you must stop using our branding.

These terms follow Delaware law. Disagreements go to binding arbitration in Delaware with no class action lawsuits. These terms plus our Privacy Policy are the complete agreement. You can't transfer your account to someone else. We can transfer our obligations if we're acquired.

We may update these terms occasionally. We'll email you about major changes 30 days in advance. Continuing to use ReplySmart means you accept the changes.
